Terms of Service

Welcome to Wakalist. These Terms of Service (“Terms”) govern your access to and use of the Wakalist website, platform, and related services (collectively, the “Service”).

By using Wakalist, you agree to these Terms. If you do not agree, please do not use the Service.

In these Terms, “Wakalist,” “we,” “us,” and “our” mean Wakalist Inc.

1. About Wakalist

Wakalist is a discovery platform that helps people find businesses, venues, events, services, and experiences.

We may offer tools that let users browse, search, save listings, suggest new spots, and connect with businesses through external links or other platform features.

Wakalist is a platform and intermediary. Unless we clearly state otherwise for a specific feature, Wakalist does not own, operate, manage, control, endorse, or provide the underlying business, venue, event, product, or service listed on the platform.

This means businesses and providers are responsible for their own operations, pricing, availability, hours, safety, legality, accessibility, and service quality. When you click out to a website, social page, phone number, reservation page, or other third-party destination, you are dealing with that third party, not Wakalist. You are responsible for verifying anything important before relying on a listing.

2. Eligibility

You may browse public parts of Wakalist without an account.

You must be at least 18 years old to create an account, submit a spot suggestion or other content, save listings, use interactive features, claim or manage a business profile, or use any future booking, payment, deposit, or reservation feature.

Wakalist is not directed to children.

If you use Wakalist on behalf of a business or organization, you represent that you are at least 18 years old and have authority to act on behalf of that business or organization.

3. Accounts

Some features may require an account.

If you create one, you agree to provide accurate, current information and keep it updated. You are responsible for keeping your login credentials secure and for activity that happens under your account.

We may offer login through third-party providers such as Google. If you choose that option, your use of that login method is also subject to the third party’s own terms and privacy practices.

We may suspend or close your account if we believe you gave false or misleading information, your account is being used unlawfully, fraudulently, or abusively, you are violating these Terms, or suspension is needed to protect Wakalist, users, businesses, or third parties.

4. Listings and Platform Information

Wakalist may display listings, descriptions, categories, summaries, tags, hours, contact information, prices, neighborhoods, recommendations, and other content about businesses, venues, events, or services.

That information may come from public web sources, manual research or curation, business submissions, user suggestions, third-party tools or feeds, or Wakalist’s own editorial or algorithmic processes.

Because information changes and may come from third parties, Wakalist does not guarantee that listing information is always accurate, complete, current, verified, or suitable for your needs.

We may update, edit, organize, summarize, standardize, categorize, rank, highlight, relabel, or remove information at any time. We may also create or maintain pages for businesses whether or not the business has a relationship with Wakalist.

5. Nightlife, Alcohol, and Age-Restricted Venues

Wakalist may include listings for nightlife, bars, lounges, alcohol-serving venues, or other age-restricted environments.

These listings are provided for discovery purposes only. Their presence on Wakalist does not mean you are eligible to enter, attend, purchase, or participate.

Age restrictions, entry requirements, ID checks, venue rules, service policies, and legal consumption rules are set by the business or provider and may vary. You are responsible for confirming them directly with the business before visiting.

6. Suggest a Spot and Other Submissions

Wakalist may allow users to submit suggestions for new spots, businesses, events, or other listing-related information. In some cases, we may allow this without requiring an account.

If you submit something to Wakalist, you represent that you are at least 18 years old, the information is accurate to the best of your knowledge, you have the right to submit it, it does not violate any law or third-party rights, it is not false, deceptive, harmful, or spam, and it does not include confidential or private information you are not allowed to share.

We may review, reject, edit, delay, or remove any submission for any reason. Submitting a suggestion does not guarantee that it will be published, credited, ranked, or acted on.

Unless we explicitly agree otherwise, submissions to Wakalist are treated as non-confidential and non-proprietary.

7. Future Content Features

Some features may not be available at launch and may be introduced later.

If Wakalist later enables reviews, ratings, photos, videos, comments, business responses, profile edits, or similar user content features, you will remain solely responsible for the content you submit.

Any content you post must be lawful and must not be false, misleading, abusive, hateful, harassing, fake, manipulated, deceptive, infringing, or harmful to the platform or its users.

We may review, moderate, remove, restrict, or refuse content at any time.

8. Business Pages and Claimed Profiles

Wakalist may create or maintain business pages whether or not the business has claimed them.

If we later allow businesses to claim or manage a profile, the page remains part of the Wakalist platform. Claiming a page gives the business a limited, revocable right to manage certain information on that page. It does not transfer ownership of the page itself.

We may require verification, documents, domain-based email confirmation, or manual review. We may deny, pause, revoke, or re-review a claim at any time. We may also require staff review before edits go live and may resolve competing claim or ownership disputes in our discretion based on the information available to us.

9. Acceptable Use

You agree to use Wakalist lawfully and responsibly.

You may not break the law, submit false or misleading information, create fake accounts, impersonate another person or business, scrape or systematically extract data from Wakalist without permission, use bots or automation to misuse the platform, interfere with the Service or its security, upload malware or harmful code, misuse reports or dispute channels, collect personal data from others without authorization, or use Wakalist to build a competing listings or discovery product in an unauthorized way.

10. Moderation and Enforcement

We may monitor, review, investigate, and act on content, submissions, accounts, business claims, and reported issues.

If we believe these Terms have been violated, we may issue a warning, request clarification or evidence, reject or remove content or submissions, limit visibility, suspend account features, terminate an account, revoke a business claim, block future access, or report conduct to relevant authorities or affected third parties where appropriate.

We may apply these actions on a repeat-violation basis or immediately for serious issues.

We are not required to pre-screen everything on the platform, and our decisions may be based on the information available to us at the time.

11. Intellectual Property

Wakalist and its platform, design, software, branding, layout, features, editorial material, and other original platform content are owned by Wakalist or its licensors and are protected by law.

We give you a limited, non-exclusive, revocable right to use the Service for personal use or internal business use in accordance with these Terms.

You may not use Wakalist’s name, branding, content, or platform materials except as permitted by law or with our prior written consent.

Third-party names, logos, images, and trademarks appearing on Wakalist belong to their respective owners.

12. Content License You Give Wakalist

If you submit content, suggestions, business information, reviews, photos, edits, or other materials to Wakalist, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to use, host, store, copy, reproduce, modify, adapt, publish, display, distribute, and create derivative works from that material as needed to operate and improve Wakalist, publish or manage listings, create summaries and editorial features, prevent fraud and abuse, enforce our rights, and market and promote the platform.

This license continues for as long as reasonably necessary for those purposes, including backup, compliance, fraud prevention, and archival purposes.

You represent that you have all rights needed to grant this license.

13. Third-Party Links and Services

Wakalist may link to or integrate with third-party websites, social platforms, maps, sign-in providers, analytics providers, reservation tools, payment processors, and other services.

We are not responsible for third-party services, content, actions, policies, or outcomes. When you interact with a third party, their terms and privacy practices apply.

14. Future Bookings, Payments, and Reservations

Wakalist may later introduce booking, reservation, deposit, appointment, or payment features. If that happens, additional terms or policies may apply.

Unless we explicitly say otherwise for a specific feature, Wakalist acts only as a platform or facilitator. The actual contract for the underlying good, service, reservation, appointment, event, or experience is between you and the business or provider. The business or provider is responsible for fulfilment, cancellations, refunds, rescheduling, safety, legality, and service quality. Payment processing may be handled by third-party providers.

Wakalist may also introduce platform fees, booking fees, convenience fees, service fees, no-show fees, cancellation fees, or similar charges in the future, provided they are clearly disclosed.

15. Paid Features, Sponsored Placements, and Advertising

Wakalist may later offer paid products or commercial features, including subscriptions, enhanced listings, lead-generation tools, sponsored placements, or advertising.

If we do, pricing, billing terms, and renewal terms may apply. We may change or discontinue paid products subject to applicable law. Unpaid amounts may result in suspension or removal of paid features. Sponsored or paid placements may be labeled in a way we consider appropriate.

Payment does not guarantee organic ranking or endorsement unless we explicitly say so.

16. No Warranties

Wakalist is provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, we disclaim all warranties, representations, and conditions, express or implied, including warranties relating to accuracy, availability, merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the Service will always be available, uninterrupted, secure, or error-free, that listings or other content will always be accurate, complete, current, or verified, that any business or provider will perform as expected, that any listing, event, venue, or offer will be available, safe, legal, or suitable for you, or that the platform will produce any specific result for users or businesses.

You are responsible for independently verifying information before relying on it.

17. Limitation of Liability

To the fullest extent permitted by law, Wakalist and its directors, officers, employees, affiliates, contractors, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business opportunity, goodwill, data, or use, arising out of or related to your use of the Service.

To the fullest extent permitted by law, Wakalist’s total liability to you for any claim relating to the Service or these Terms will not exceed the amount you paid directly to Wakalist in the 12 months before the event giving rise to the claim.

If you paid Wakalist nothing during that period, Wakalist’s monetary liability will be zero, to the maximum extent permitted by law.

Nothing in these Terms limits liability that cannot legally be excluded or limited.

18. Indemnity

You agree to indemnify and hold harmless Wakalist and its directors, officers, employees, affiliates, contractors, licensors, and service providers from claims, losses, damages, liabilities, and expenses, including reasonable legal fees, arising out of or related to your violation of these Terms, your submissions or content, your misuse of the Service, your violation of any law, or your violation of any third-party rights.

This does not apply to the extent the claim results from Wakalist’s own wilful misconduct or from liability that cannot legally be shifted to you.

19. Suspension, Termination, and Platform Changes

You may stop using Wakalist at any time.

We may suspend, restrict, modify, discontinue, or terminate all or part of the Service, or your access to it, at any time for legal, operational, security, commercial, or policy reasons.

We may also remove content, deactivate inactive accounts, or discontinue specific features.

Sections of these Terms that by their nature should survive termination will continue to apply, including sections relating to intellectual property, licenses, disclaimers, liability limits, indemnity, and disputes.

20. Complaints, Governing Law, and Disputes

If you have a complaint or dispute with Wakalist, you agree to contact us first and try to resolve it informally before starting legal proceedings.

You can contact us at support@wakalist.com.

You and Wakalist agree to make a good-faith effort to resolve disputes informally for at least 30 days, unless urgent legal relief is necessary.

These Terms are governed by the laws of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict of laws rules.

Subject to applicable law, disputes relating to these Terms or the Service will be brought exclusively in the courts of Ontario, Canada.

These Terms are intended for Wakalist’s launch in Canada outside Quebec.

21. Changes to These Terms

We may update these Terms from time to time.

If we make material changes, we may post the updated version on Wakalist and may also provide additional notice where appropriate.

Unless otherwise stated, updated Terms take effect when posted. By continuing to use Wakalist after they take effect, you agree to the revised Terms.
