Terms of Service

Welcome to Wakalist. These Terms of Service (“Terms”) govern your access to and use of the Wakalist website, platform, and related services (collectively, the “Service”).
By using Wakalist, you agree to these Terms. If you do not agree, do not use the Service.
In these Terms, “Wakalist,” “we,” “us,” and “our” mean Wakalist Inc.
1. About Wakalist
Wakalist is a curated discovery platform that helps people find restaurants, food experiences, lounges, nightlife, events, catering or bulk-food providers, and other local experiences.
The Service may include browsing, search, AI-assisted discovery, saved listings, account features, editorial recommendations, listing suggestions, issue reporting, maps, external links, and other discovery tools.
Unless we clearly state otherwise for a specific feature, Wakalist does not own, operate, manage, control, or provide the underlying business, venue, event, product, or service listed on the platform.
Businesses, organizers, and other providers are responsible for their own operations, pricing, availability, hours, admission rules, safety, legality, accessibility, products, services, refunds, and service quality.
2. Eligibility
You may browse public parts of Wakalist without an account.
Wakalist is not directed to children under 13, and children under 13 should not create an account.
Core Wakalist account and discovery features do not have a blanket 18+ restriction. However, specific venues and events may have age requirements, identification requirements, alcohol-service rules, dress codes, ticket rules, guest-list conditions, or other restrictions.
You are responsible for complying with them.
If you use Wakalist on behalf of a business or organization, you represent that you have authority to act for that business or organization.
3. Accounts
Some features require an account.
If you create one, you agree to provide accurate information, keep relevant account information reasonably current, and protect your login credentials.
You are responsible for activity conducted through your account except to the extent caused by Wakalist's own breach of an applicable legal obligation.
We may suspend, restrict, or terminate an account if we reasonably believe it is being used unlawfully, fraudulently, deceptively, abusively, or in violation of these Terms, or where action is reasonably necessary to protect Wakalist, users, businesses, third parties, or the security of the Service.
4. Listings and Platform Information
Wakalist may display names, descriptions, categories, editorial summaries, tags, hours, contact information, prices, neighborhoods, images, map links, ratings, review counts, recommendations, event schedules, and other information relating to businesses, venues, events, organizers, products, or services.
Information may come from public sources, manual research and curation, business submissions, user suggestions, maps and listing services, organizer pages, third-party tools, or Wakalist's editorial or algorithmic processes.
Information changes. Third-party data may be delayed, incomplete, inaccurate, or inconsistent across sources.
Wakalist does not guarantee that every listing is accurate, complete, current, independently verified, or suitable for your needs.
You should verify important details directly with the relevant business, organizer, ticketing provider, or other source before travelling, purchasing, booking, or relying on a listing.
Wakalist may create or maintain pages for businesses or events whether or not the business or organizer has a commercial relationship with Wakalist.
We may edit, summarize, standardize, categorize, rank, highlight, relabel, correct, restrict, or remove platform information.
5. AI-Assisted Discovery
Wakalist may offer AI-assisted discovery features.
These features may use a third-party AI service to interpret natural-language questions into Wakalist search criteria.
AI-assisted discovery is designed to help understand what you are looking for. Results remain based on Wakalist inventory and are not independent verification that a venue, event, price, schedule, operating hour, ticket, or other real-world condition is current.
AI systems may misunderstand a request or produce an imperfect interpretation.
You should review the underlying Wakalist listing and verify important information directly with the relevant provider.
Do not enter passwords, payment-card information, government identifiers, medical information, or other highly sensitive personal information into AI-assisted discovery.
Wakalist may modify, limit, suspend, or discontinue AI-assisted features at any time.
6. Search, Recent Searches, and Personalization
Wakalist may remember recent searches, selected location, saved items, and other limited preferences to make discovery more useful.
Recent-search functionality may differ depending on whether you are signed in.
You can remove or clear recent searches using available product controls.
Search ranking, editorial selections, recommendation logic, and other discovery ordering may change over time.
Unless a placement is expressly labelled as paid or sponsored, its position does not create a guarantee, endorsement, or contractual promise of ranking.
7. Nightlife, Alcohol, and Provider-Specific Restrictions
Wakalist may list nightlife, bars, lounges, clubs, alcohol-serving venues, concerts, parties, and other age-restricted or admission-controlled experiences.
These listings are provided for discovery purposes.
Their presence on Wakalist does not guarantee admission, ticket validity, alcohol service, reservation availability, entry, safety, or participation.
You are responsible for checking and complying with the provider's age, identification, dress, ticketing, guest-list, entry, conduct, and other requirements.
8. Suggestions, Reports, and Other Submissions
Wakalist may allow users to suggest a place or event, report inaccurate information, contact support, or submit other listing-related information.
If you submit information, you represent that, to the best of your knowledge:
- it is accurate;
- you have the lawful right to submit it;
- it does not violate law or third-party rights;
- it is not fraudulent, deceptive, malicious, or spam; and
- it does not contain confidential or private information you are not authorized to share.
We may review, edit, reject, incorporate, investigate, correct, restrict, or remove information based on a submission.
A submission does not guarantee publication, attribution, correction, response, or action.
Unless we expressly agree otherwise, submissions are treated as non-confidential.
9. Future User-Generated Content Features
Wakalist may introduce reviews, ratings, photos, videos, comments, business responses, or similar user-content features in the future.
If those features are introduced, you remain responsible for content you submit.
Content must be lawful and must not be fraudulent, misleading, abusive, hateful, harassing, infringing, manipulated, or otherwise harmful.
We may moderate, restrict, reject, or remove user content in accordance with applicable law and platform rules.
Additional content-specific terms may apply if those features are launched.
10. Business Pages and Claimed Profiles
Wakalist may create or maintain business pages whether or not the business has claimed or manages the page.
If Wakalist introduces business-claim functionality, claiming a page will provide a limited, revocable ability to manage designated information.
It will not transfer ownership of the Wakalist page, platform design, editorial content, ranking systems, or other Wakalist intellectual property.
We may require verification and may reject, pause, revoke, or re-review a business claim where reasonably necessary.
11. Acceptable Use
You must use Wakalist lawfully and in a manner that does not harm the Service or others.
You may not:
- break the law;
- submit knowingly false or fraudulent information;
- create deceptive accounts;
- impersonate another person or business;
- interfere with security or availability;
- introduce malware;
- attempt unauthorized access;
- abuse reporting or submission systems;
- collect personal information from others without authority;
- systematically scrape, copy, or extract Wakalist data in violation of applicable law or these Terms;
- use bots or automation to overload or misuse the Service;
- circumvent technical protections; or
- use Wakalist content or systems to build a competing listings or discovery product through unauthorized extraction or reuse.
Nothing in this section restricts rights that cannot lawfully be restricted.
12. Moderation, Corrections, Takedowns, and Enforcement
Wakalist may review, investigate, and act on submissions, accounts, listings, reports, business claims, suspected abuse, or alleged rights violations.
Depending on the circumstances, we may:
- request clarification or evidence;
- correct or remove information;
- restrict visibility or access;
- suspend features or accounts;
- revoke a business claim;
- block abusive activity; or
- refer matters to relevant authorities or affected parties where appropriate.
Businesses, organizers, and rights holders may use the Report an Issue feature or contact us to report inaccurate business information, closed or relocated venues, cancelled or changed events, duplicate listings, impersonation, unauthorized material, copyright or trademark concerns, or other unlawful or misleading content.
We may request reasonable supporting evidence.
We are not required to pre-screen every listing or submission.
13. Intellectual Property
The Wakalist platform, software, design, layout, branding, logos, original editorial material, ranking and presentation systems, and other original Wakalist materials are owned by Wakalist or its licensors and are protected by applicable intellectual-property laws.
Subject to these Terms, Wakalist gives you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for lawful personal use or internal business use.
You may not use Wakalist branding or proprietary materials in a way that suggests sponsorship, endorsement, or affiliation without permission.
Third-party names, trademarks, logos, images, and other third-party materials remain the property of their respective owners.
14. License for Material You Submit
You retain ownership of material you own that you submit to Wakalist.
By submitting listing suggestions, corrections, photos, descriptions, or other material, you grant Wakalist a non-exclusive, worldwide, royalty-free license to receive, review, store, reproduce, edit, standardize, format, display, incorporate into listings, operate, secure, improve, and promote the Service using that material.
Wakalist may allow service providers to process submitted material only as reasonably necessary to perform services for Wakalist.
The license lasts for as long as reasonably necessary for published listings, platform operation, backups, legal compliance, fraud prevention, dispute resolution, and related legitimate purposes.
You represent that you have the rights necessary to grant this license.
15. Third-Party Links and Services
Wakalist may link to or integrate with third-party websites, maps, social platforms, ticketing services, reservation services, ordering and delivery services, analytics services, AI services, and other third-party services.
Third-party services are controlled by their respective providers.
Their terms, privacy practices, availability, security, pricing, and service quality apply when you interact with them.
Wakalist is not responsible for third-party services or for losses caused solely by a third party's acts or omissions, except to the extent Wakalist has a legal responsibility that cannot be excluded.
16. Tickets, Reservations, Orders, and Third-Party Transactions
Wakalist may link users to third-party ticketing, reservations, ordering, delivery, social, and business destinations.
Unless Wakalist expressly states otherwise for a future feature, Wakalist does not currently sell tickets, process reservations, fulfill food orders, or act as merchant of record for those third-party transactions.
The transaction and fulfillment relationship is between you and the third-party provider.
The final price, fees, taxes, refund rules, cancellation rules, admission rules, delivery terms, and other transaction terms presented by that provider control.
Event cancellations, postponements, rescheduling, admission disputes, refunds, reservation problems, and fulfillment issues are handled by the applicable provider.
If Wakalist later introduces in-platform payments, reservations, or ordering, additional terms and disclosures will apply.
17. Sponsored Placements, Paid Features, and Affiliate Relationships
Wakalist may introduce sponsored placements, advertisements, enhanced listings, paid business features, subscriptions, referral relationships, or affiliate arrangements.
Where payment or another material commercial relationship affects a placement, Wakalist will identify the commercial nature of the placement clearly enough for a reasonable user to understand it.
Payment does not automatically constitute Wakalist's endorsement of a business, event, organizer, product, or service.
As of the effective date of these Terms, Wakalist does not represent that ordinary ticketing, reservation, delivery, or ordering links generate affiliate or referral compensation unless a specific disclosure says otherwise.
If Wakalist introduces affiliate or referral compensation, material relationships will be disclosed as appropriate.
18. No Warranties
To the fullest extent permitted by applicable law, Wakalist is provided on an “as is” and “as available” basis.
Wakalist disclaims warranties, representations, and conditions that can lawfully be disclaimed, including implied warranties relating to accuracy, merchantability, fitness for a particular purpose, availability, and non-infringement.
We do not guarantee:
- uninterrupted or error-free operation;
- the accuracy, completeness, freshness, or verification status of listings;
- the availability or suitability of a business, event, product, service, ticket, reservation, or offer;
- the accuracy of an AI-assisted interpretation;
- admission to an event or venue; or
- any particular result from using Wakalist.
Nothing in these Terms excludes a warranty, condition, right, or remedy that applicable law does not permit us to exclude.
19. Limitation of Liability
To the fullest extent permitted by applicable law, Wakalist and its directors, officers, employees, affiliates, contractors, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunity, goodwill, data, or use, arising from or relating to the Service.
To the fullest extent permitted by law, Wakalist's aggregate monetary liability for claims arising from or relating to the Service or these Terms will not exceed the greater of:
- the amount you paid directly to Wakalist during the 12 months immediately before the event giving rise to the claim; or
- CAD $100.
The limitations in this section apply only to the extent permitted by law and do not limit liability that cannot legally be excluded or limited.
20. Indemnity
To the extent permitted by law, you agree to indemnify and hold harmless Wakalist and its directors, officers, employees, affiliates, contractors, licensors, and service providers from third-party claims, losses, liabilities, damages, and reasonable legal expenses arising from:
- your unlawful misuse of the Service;
- your material violation of these Terms;
- your submitted content; or
- your infringement of a third party's rights.
This obligation does not apply to the extent a claim results from Wakalist's own negligence, wilful misconduct, breach of law, or other liability that cannot legally be shifted to you.
21. Account Deletion, Suspension, and Termination
You may stop using Wakalist at any time.
If you have an account, you can use the account-deletion control available through your Profile page or contact support if you cannot access the control.
When an account is deleted, Wakalist removes or de-identifies personal information associated with the account from its active systems, subject to limited records that may need to be retained for legal, security, fraud-prevention, unsubscribe, backup, or dispute-resolution purposes.
Deleting an account does not necessarily remove independently maintained editorial information about a business or event merely because you previously suggested or reported that information.
Wakalist may suspend, restrict, or terminate access where reasonably necessary for security, fraud prevention, legal compliance, enforcement of these Terms, protection of users or third parties, or continued operation of the Service.
Where reasonably practicable, we may provide notice before a non-urgent termination.
Immediate action may be taken for fraud, abuse, security threats, unlawful conduct, or legal requirements.
Terms that by their nature should survive termination, including intellectual-property provisions, licenses, disclaimers, liability limitations, indemnities, and dispute provisions, continue to apply.
22. Complaints, Governing Law, and Mandatory Rights
If you have a complaint or dispute with Wakalist, contact us first so we have a reasonable opportunity to address it.
You and Wakalist agree to make a good-faith effort to resolve a dispute informally before starting legal proceedings, where doing so is reasonable and does not interfere with a limitation period or a right that cannot be waived.
Wakalist is based in Canada and currently focuses primarily on discovery in Toronto and the Greater Toronto Area.
These Terms are governed by the laws of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles.
Subject to mandatory applicable law, disputes relating to the Service or these Terms may be brought in the courts of Ontario, Canada.
Nothing in these Terms excludes, restricts, or waives a consumer-protection, privacy, statutory, or other right or remedy that applicable law does not permit to be excluded, restricted, or waived.
23. Changes to the Service or These Terms
Wakalist may add, modify, suspend, or discontinue features or parts of the Service.
We may update these Terms from time to time.
When we do, we will update the “Last updated” date.
For material changes, we will provide additional notice where reasonably appropriate, such as through the Service or by email.
Changes generally apply prospectively from their effective date, subject to applicable law.
Continued use after the effective date constitutes acceptance of the updated Terms to the extent permitted by law.
