Welcome to Wakalist. These Terms of Service (“Terms”) govern your access to and use of the Wakalist website, platform, and related services (collectively, the “Service”).

By using Wakalist, you agree to these Terms. If you do not agree, please do not use the Service.

In these Terms, “Wakalist,” “we,” “us,” and “our” mean Wakalist.

1. About Wakalist

Wakalist is a discovery platform that helps people find businesses, venues, events, services, and experiences.

We may offer tools that let users browse, search, save listings, suggest new spots, and connect with businesses through external links or other platform features.

Wakalist is a platform and intermediary. Unless we clearly state otherwise for a specific feature, Wakalist does not own, operate, manage, control, endorse, or provide the underlying business, venue, event, product, or service listed on the platform.

This means businesses and providers are responsible for their own operations, pricing, availability, hours, safety, legality, accessibility, and service quality. When you click out to a website, social page, phone number, reservation page, or other third-party destination, you are dealing with that third party, not Wakalist. You are responsible for verifying anything important before relying on a listing.

2. Eligibility

You may browse public parts of Wakalist without an account.

Wakalist is not directed to children under 13, and children under 13 should not create an account. Ordinary account creation, saved-item functionality, spot suggestions, and core interactive features do not have a blanket 18+ restriction. However, specific venue- and event-specific restrictions remain applicable, and users must comply with any provider-specific rules.

If you use Wakalist on behalf of a business or organization, you represent that you have the legal capacity and authority to act on behalf of and bind that business or organization.

3. Accounts

Some features may require an account.

If you create one, you agree to provide accurate, current information and keep it updated. You are responsible for keeping your login credentials secure and for activity that happens under your account.

We may suspend or restrict your account if we believe you gave false or misleading information, your account is being used unlawfully, fraudulently, or abusively, you are violating these Terms, or suspension is needed to protect Wakalist, users, businesses, or third parties.

4. Listings and Platform Information

Wakalist may display listings, descriptions, categories, summaries, tags, hours, contact information, prices, neighborhoods, recommendations, and other content about businesses, venues, events, or services.

That information may come from public web sources, manual research or curation, business submissions, user suggestions, third-party tools or feeds, or Wakalist’s own editorial or algorithmic processes.

Because information changes and may come from third parties, Wakalist does not guarantee that listing information is always accurate, complete, current, verified, or suitable for your needs.

We may update, edit, organize, summarize, standardize, categorize, rank, highlight, relabel, or remove information at any time. We may also create or maintain pages for businesses whether or not the business has a relationship with Wakalist.

5. Nightlife, Alcohol, and Provider-Specific Restrictions

Wakalist may include listings for nightlife, bars, lounges, alcohol-serving venues, or other environments that may involve alcohol, nightlife, age-restricted content, minimum entry ages, identification requirements, dress codes, guest-list conditions, ticket-holder restrictions, or other provider policies.

These listings are provided for discovery purposes only. Their presence on Wakalist does not guarantee eligibility, entry, service, or participation.

You are solely responsible for checking and complying with the business’s or organizer’s requirements. Wakalist does not guarantee admission, alcohol service, ticket acceptance, or participation.

6. Spot Suggestions and Submissions

Wakalist may allow users to submit suggestions for new spots, businesses, events, or other listing-related information. In some cases, we may allow this without requiring an account.

If you submit a suggestion or other information, you represent that the information is accurate to the best of your knowledge, you have the lawful right to submit it, it does not violate any law or third-party rights, it is not deceptive, harmful, fraudulent, or spam, and it does not include confidential or private information you are not authorized to share.

We may review, edit, reject, or incorporate submissions into our editorial listings. Submitting a suggestion does not guarantee publication, attribution, or action on our part. Unless otherwise agreed in writing, submissions are treated as non-confidential.

7. Future Content Features

Some features may not be available at launch and may be introduced later.

If Wakalist later enables reviews, ratings, photos, videos, comments, business responses, profile edits, or similar user content features, you will remain solely responsible for the content you submit.

Any content you post must be lawful and must not be false, misleading, abusive, hateful, harassing, fake, manipulated, deceptive, infringing, or harmful to the platform or its users.

We may review, moderate, remove, restrict, or refuse content at any time.

8. Business Pages and Claimed Profiles

Wakalist may create or maintain business pages whether or not the business has claimed them.

If we later allow businesses to claim or manage a profile, the page remains part of the Wakalist platform. Claiming a page gives the business a limited, revocable right to manage certain information on that page. It does not transfer ownership of the page itself.

We may require verification, documents, domain-based email confirmation, or manual review. We may deny, pause, revoke, or re-review a claim at any time. We may also require staff review before edits go live and may resolve competing claim or ownership disputes in our discretion based on the information available to us.

9. Acceptable Use

You agree to use Wakalist lawfully and responsibly.

You may not break the law, submit false or misleading information, create fake accounts, impersonate another person or business, scrape or systematically extract data from Wakalist without permission, use bots or automation to misuse the platform, interfere with the Service or its security, upload malware or harmful code, misuse reports or dispute channels, collect personal data from others without authorization, or use Wakalist to build a competing listings or discovery product in an unauthorized way.

10. Moderation and Enforcement

We may monitor, review, investigate, and act on content, submissions, accounts, business claims, and reported issues.

If we believe these Terms have been violated, we may issue a warning, request clarification or evidence, reject or remove content or submissions, limit visibility, suspend account features, terminate an account, revoke a business claim, block future access, or report conduct to relevant authorities or affected third parties where appropriate.

We may apply these actions on a repeat-violation basis or immediately for serious issues.

We are not required to pre-screen everything on the platform, and our decisions may be based on the information available to us at the time.

10.1 Corrections, Takedowns, and Rights Complaints

Businesses, event organizers, and rights holders may use our Report an Issue form or contact us using the contact details in Section 22 to report inaccurate business info, closed or relocated venues, cancelled or changed events, duplicate listings, impersonation, unauthorized photographs, copyright or trademark concerns, business profile disputes, or other unlawful or misleading material.

Wakalist may request reasonable supporting evidence and may correct, restrict, or remove content while reviewing a report.

11. Intellectual Property

Wakalist and its platform, design, software, branding, layout, features, editorial material, and other original platform content are owned by Wakalist or its licensors and are protected by law.

We give you a limited, non-exclusive, revocable right to use the Service for personal use or internal business use in accordance with these Terms.

You may not use Wakalist’s name, branding, content, or platform materials except as permitted by law or with our prior written consent.

Third-party names, logos, images, and trademarks appearing on Wakalist belong to their respective owners.

12. Content License You Grant Wakalist

You retain ownership of any material you own that you submit to Wakalist.

By submitting suggestions, edits, photos, or other content, you grant Wakalist a non-exclusive, worldwide, royalty-free license to receive, review, host, store, edit, standardize, format, create and manage listings, display published listing content, operate, secure, improve, and promote Wakalist (using content incorporated into published listings). Sublicensing under this license is permitted only to service providers or partners reasonably required to perform these purposes.

This license lasts only as reasonably necessary for published listings, platform operations, backups, legal compliance, fraud prevention, and dispute resolution. Wakalist will not publicly attribute submissions to you unless we expressly state that attribution will occur.

You represent that you have all rights necessary to grant this license.

13. Third-Party Links and Services

Wakalist may link to or integrate with third-party websites, social platforms, maps, analytics providers, reservation tools, payment processors, and other services.

We are not responsible for third-party services, content, actions, policies, or outcomes. When you interact with a third party, their terms and privacy practices apply.

14. Tickets, Reservations, Orders, and Third-Party Transactions

Wakalist links users to third-party ticketing, reservation, ordering, delivery, social, and business destinations. Wakalist does not currently sell tickets, process reservations, or act as the merchant of record for any transactions. The transaction, fulfillment, and agreement are strictly between you and the third-party provider.

Prices displayed on Wakalist may change, and taxes, service fees, or other charges may be added by the third party. The final price and terms presented on the third-party destination control. Any event cancellations, postponements, admission issues, rescheduling, or refunds are controlled by the organizer, seller, or provider, and Wakalist does not issue refunds for these third-party transactions. You should verify all details directly before purchasing or travelling.

Any future in-platform payments, bookings, or reservation processing would require additional terms, policies, and disclosures.

15. Paid Features, Sponsored Placements, and Advertising

Wakalist may offer commercial features, including enhanced listings, advertisements, or sponsored placements. We commit that any sponsored, paid, or advertising placements will be clearly and conspicuously labeled using terms such as Sponsored, Paid placement, or Advertisement. We will not use the label Featured alone where payment is involved. Paid placements will remain distinguishable from organic content, and payment does not alter organic search discovery rankings or constitute an endorsement.

If we introduce paid user subscriptions or business features, pricing and billing terms will be clearly disclosed and subject to additional terms.

15.1 Affiliate and Referral Compensation

As of the effective date of these Terms, Wakalist does not receive affiliate or referral compensation from ticketing, reservation, delivery, ordering, or similar outbound links. If Wakalist later introduces affiliate, referral, or other commercial compensation, the material relationship will be clearly and conspicuously disclosed. The introduction of such compensation will not automatically make the provider an endorsed organic result.

16. No Warranties

Wakalist is provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, we disclaim all warranties, representations, and conditions, express or implied, including warranties relating to accuracy, availability, merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the Service will always be available, uninterrupted, secure, or error-free, that listings or other content will always be accurate, complete, current, or verified, that any business or provider will perform as expected, that any listing, event, venue, or offer will be available, safe, legal, or suitable for you, or that the platform will produce any specific result for users or businesses.

You are responsible for independently verifying information before relying on it.

17. Limitation of Liability

To the fullest extent permitted by law, Wakalist and its directors, officers, employees, affiliates, contractors, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business opportunity, goodwill, data, or use, arising out of or related to your use of the Service.

To the fullest extent permitted by law, Wakalist’s total liability to you for any claim relating to the Service or these Terms will not exceed the amount you paid directly to Wakalist in the 12 months before the event giving rise to the claim.

If you paid Wakalist nothing during that period, Wakalist’s monetary liability will be zero, to the maximum extent permitted by law.

Nothing in these Terms limits liability that cannot legally be excluded or limited.

18. Indemnity

You agree to indemnify and hold harmless Wakalist and its directors, officers, employees, affiliates, contractors, licensors, and service providers from claims, losses, damages, liabilities, and expenses, including reasonable legal fees, arising out of or related to your violation of these Terms, your submissions or content, your misuse of the Service, your violation of any law, or your violation of any third-party rights.

This does not apply to the extent the claim results from Wakalist’s own wilful misconduct or from liability that cannot legally be shifted to you.

19. Account Deletion, Suspension, and Termination

You may stop using Wakalist at any time. If you have an account, you can delete it at any time directly through your Profile page, or contact support if you cannot access the control. Account deletion generally removes or disables account access, profile information in active systems, and saved listings. However, independently verified editorial listings (such as a venue or event suggestion) do not automatically disappear. Minimal records may be retained where reasonably necessary for legal compliance, security, consent evidence, fraud prevention, or dispute resolution. Our Privacy Policy explains data deletion and retention in more detail.

Wakalist may suspend, restrict, or terminate your account or access to the Service. We will provide advance notice where reasonably practicable, but we may take immediate action without notice if we suspect fraud, abuse, security threats, unlawful conduct, or if required by law or legal process.

Sections of these Terms that by their nature survive termination (including intellectual property, licenses, disclaimers, liability caps, indemnity, and dispute clauses) will remain in effect.

20. Complaints, Governing Law, and Disputes

If you have a complaint or dispute with Wakalist, you agree to contact us first and try to resolve it informally. You and Wakalist agree to make a good-faith effort to resolve disputes informally for at least 30 days before initiating legal proceedings.

Wakalist is based in Canada and primarily serves users interested in venues and events in Toronto and the Greater Toronto Area (GTA). While the Service is not technically restricted to GTA residents, nothing in these Terms deprives you of mandatory rights or remedies that apply under your local applicable law.

These Terms are governed by the laws of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict of laws rules. Subject to mandatory applicable law, disputes relating to these Terms or the Service will be brought exclusively in the courts of Ontario, Canada.

20.1 Mandatory Consumer Rights

Nothing in these Terms excludes, restricts, or waives any right or remedy that cannot lawfully be excluded, restricted, or waived under applicable consumer-protection or other laws. Disclaimers and limitations of liability in these Terms do not override mandatory legal rights that cannot be waived by contract.

21. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of these Terms. For material changes, we will provide advance notice where reasonably practicable (such as via website, email, or an in-product notice).

Changes generally apply prospectively from their effective date. Continued use of Wakalist after the effective date constitutes your acceptance of the revised Terms, subject to applicable law.
